Sponsorship agreement

How to use this template

Use this when a brand pays you to feature it in your newsletter, podcast, channel or event. Fill in the empty cells and the short [brackets], and keep one option where a clause offers two.

Settle the parts that cause disputes before you sign: the approval deadlines in 3.2, what exclusivity covers in section 5, and whether the Sponsor may run your content as paid ads (6.3), which is usually priced separately.

Delete this box, the example and the checklist at the end before you send it.

This is a template, not legal advice. Laws differ by country and state; for large sums or valuable rights, have a lawyer where you live review it before anyone signs.

Primary placement: the top slot of the newsletter on March 4, with a 60-word message, one link and the logo.
Host-read ad: a 60-second mid-roll in the podcast episode of March 11, from three talking points, with the promo code SPRING20.
Logo and thank-you: the event program and signage on April 2; logo files as SVG by March 20.

1.2 Materials. Creator delivers the placements in its own voice, using the links, promo codes and logo files Sponsor supplies by [date].

1.3 Report. Within [7] days of the last placement, Creator sends a report with the opens, clicks, downloads, views or attendance its platforms provide.

1.4 No guarantee. Creator does not guarantee any number of opens, clicks, sales or attendees. If you do guarantee one, say what it is and what happens if it is missed.

2. Fee and payment

2.1 Fee. [Amount] in total, plus products or services worth [value], if any.

2.2 Schedule. [50]% on signing and [50]% within [30] days after the last placement. Creator invoices; Sponsor pays each invoice within [30] days.

2.3 Late payment. Creator may pause placements that have not yet run until overdue invoices are paid.

2.4 Expenses. Sponsor reimburses pre-approved travel and production costs within [30] days of receipts. Delete if there are none.

2.5 Independent contractor. Creator is an independent contractor, responsible for its own taxes, and is not Sponsor's employee or agent.

3. Review and approval

3.1 Brand materials and claims. Sponsor sends brand guidelines, talking points and any required claims by [date]. Claims Sponsor supplies must be true and supportable; Creator will not make claims beyond them.

3.2 Drafts. Creator sends each draft [5] business days before it runs. Sponsor replies within [2] business days with approval or changes; no reply by then counts as approval.

3.3 Changes. The fee covers [1] round of changes. Further rounds, re-recording or reshoots cost [amount] each.

3.4 Editorial control. Creator keeps editorial control of everything outside the sponsored placements, including any coverage of Sponsor or its competitors.

4. Disclosure

4.1 Labels. Every placement is labeled as paid, next to or before the sponsored message, in plain words such as “Sponsored by [Sponsor]” or “Ad”. Audio and video placements say it out loud; video also shows it on screen.

4.2 Rules. Both parties follow the advertising and endorsement rules that apply where the content is published, including the FTC's Endorsement Guides in the United States.

5. Exclusivity

Keep one option and delete the other.

  • Option 1, exclusive. From [start date] to [end date], Creator will not run paid placements for [competitors or category]. This does not cover editorial mentions, affiliate links already published, or guests' own projects.

  • Option 2, not exclusive. This sponsorship is not exclusive.

6. Ownership and usage

6.1 Ownership. Creator owns the content it creates, including the sponsored placements.

6.2 Sponsor's own channels. Sponsor may share or repost the placements on its own website and social accounts, crediting Creator, until [date].

6.3 Paid ads. Paid advertising that uses Creator's name, likeness, voice or content, including ads run through Creator's accounts, needs Creator's written approval and a separate fee of [amount].

6.4 Trademarks. Sponsor lets Creator use Sponsor's name and logo, as supplied, only to deliver this Agreement. Each party keeps all rights in its own trademarks.

7. Missed placements and make-goods

7.1 Make-goods. If a placement runs late, runs with a wrong or broken link, or does not run for a reason within Creator's control, Creator will run a replacement placement of equal value within [30] days or refund that placement's share of the fee, at Sponsor's choice.

7.2 Sponsor delays. If Sponsor misses a deadline for materials or approval, the placement moves to the next available date and the fee is unchanged.

8. Cancellation and termination

8.1 With notice. Either party may end this Agreement with [30] days' written notice. Sponsor pays for placements already delivered, plus [50]% of that placement's fee for any placement canceled less than [14] days before its date (a kill fee).

8.2 For breach. Either party may end it at once if the other materially breaches it and does not fix the breach within [10] days of written notice.

8.3 Conduct (optional). Either party may end it if the other's public conduct is likely to bring it into serious disrepute. Say what counts, or delete this clause.

8.4 Published content. Content already published stays up. Or: it is taken down within 7 days of a written request.

8.5 What continues. Sections 6 and 9 continue after the Agreement ends.

9. General terms

9.1 Responsibility. Sponsor is responsible for its products, claims and materials; Creator for everything else it publishes. Each party covers the other against third-party claims arising from its own content or breach.

9.2 Liability. Neither party is liable for indirect losses or lost profits, and each party's total liability is capped at the total fee.

9.3 Confidentiality. Both parties keep the fee and other non-public terms confidential, except with their advisers or where the law requires disclosure.

9.4 Delays. Neither party is liable for delays caused by events outside its reasonable control; affected placements move to a new date both agree on.

9.5 Notices. By email to [sponsor's contact and email] and [creator's contact and email].

9.6 Law and disputes. The laws of [state or country] govern this Agreement. The parties will try to settle any dispute by negotiation for [30] days before [mediation / going to court] in [place].

9.7 Whole agreement. This document is the entire agreement. Changes must be in writing and signed by both parties. Electronic signatures count as originals.
